Terms of Service

These Terms of Service govern your access to and use of the TXPAL application and website. Please read them carefully. By creating an account or using TXPAL you agree to these Terms and to our Privacy Policy. If you do not agree with them, please do not use the service.
Acceptance and eligibility
By creating an account or using TXPAL you accept these Terms and our Privacy Policy. TXPAL is a business tool, so you may use it only for work purposes and not as a consumer for personal use. If you accept these Terms on behalf of a company, you confirm that you are authorized to bind that company. The service is provided by [TXPAL legal entity and registry code].
The service
TXPAL provides pallet costing and production management software for manufacturers. We may add, change, or remove features to improve the service. We provide the service on an as available basis and may carry out maintenance from time to time. We try to keep any planned downtime short and, where practical, to give you advance notice.
Your account
You must give accurate account and company details and keep them up to date. You are responsible for keeping your password and other credentials secure, and for all activity that happens under your account. Do not share your login with others. Tell us promptly if you believe someone has accessed your account without permission.
Subscription and billing
Paid plans are billed in advance through our payment processor. Unless stated otherwise, a subscription renews automatically for further periods until you cancel it. You can cancel at any time, and the cancellation takes effect at the end of the period you have already paid for. Fees are not refundable except where the law requires. Prices may change, and we will give you notice before a change applies to your next renewal. You are responsible for any taxes that apply to your subscription.
Acceptable use
- Do not use the service for any unlawful purpose or in breach of these Terms.
- Do not copy, modify, reverse engineer, or attempt to extract the source code of the software.
- Do not scrape, overload, disrupt, or interfere with the service or its infrastructure.
- Do not share your account credentials or let others use your account.
- Do not upload content that is unlawful or that infringes the rights of others.
- Do not probe, bypass, or attempt to defeat the security of the service.
Your data and intellectual property
You keep ownership of the data you enter into TXPAL. You grant [TXPAL legal entity and registry code] a licence to host and process that data only as needed to provide the service, as described in our Privacy Policy. TXPAL and its licensors own the software, the TXPAL name and logo, and all related intellectual property, and nothing in these Terms transfers that ownership to you. If you send us feedback or suggestions, you grant us a licence to use them without obligation to you.
Warranties and disclaimers
We provide the service with reasonable care and skill, but we cannot promise that it will be uninterrupted or free of errors. The service is provided as is and as available. Costing, pricing, and production figures produced by TXPAL are estimates based on the data you enter, and you are responsible for checking them before you rely on them for quotes, orders, or production. To the extent the law allows, we exclude all other warranties and conditions that are not set out in these Terms.
Limitation of liability
To the extent the law allows, TXPAL is not liable for indirect or consequential loss, or for lost profits, lost revenue, or lost or corrupted data. Our total liability to you for any claim connected with the service is limited to the fees you paid to [TXPAL legal entity and registry code] in the twelve months before the event that gave rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, and your mandatory rights as a consumer, where they apply, are not affected.
Suspension and termination
We may suspend or end your access to the service if you seriously or repeatedly breach these Terms, if you do not pay fees when they are due, or if we must do so to comply with the law. Where it is reasonable, we will warn you first and give you a chance to put things right. You may stop using the service at any time by closing your account. When your access ends, your right to use the service stops, and we handle your data as described in our Privacy Policy.
Changes to these terms
We may update these Terms from time to time, for example to reflect changes to the service or to the law. When we make a material change, we update the date at the top of this page and, where appropriate, tell you inside the application. If you continue to use the service after a change takes effect, you accept the updated Terms.
Governing law and disputes
These Terms, and any dispute between you and [TXPAL legal entity and registry code], are governed by the law of Estonia, and the courts of Estonia have jurisdiction. If you use TXPAL as a consumer, the mandatory consumer protections of the country where you live still apply, and this clause does not take them away.
